Terms of Service

1. Acceptance of terms

By accessing or using the SOP platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. These Terms form a legally binding agreement between you and SOP Technologies (“SOP”, “we”, “us”).

2. Description of service

SOP provides a QR-based ordering and payment platform for hospitality businesses, including digital menus, guest ordering flows, kitchen display systems, and staff payment tools. Features available to you depend on the subscription plan you have selected.

3. Accounts and access

  • You must provide accurate information when creating an account.
  • You are responsible for maintaining the confidentiality of your credentials.
  • You may not share login credentials with unauthorised parties.
  • You must notify us immediately of any unauthorised access to your account.
  • You must be at least 18 years of age and have authority to enter into this agreement on behalf of your business.

4. Subscriptions and payment

  • Subscription fees are billed monthly in advance as stated on the pricing page.
  • All prices are in EUR and exclude applicable taxes unless stated otherwise.
  • Payment is processed via our third-party payment provider. By subscribing, you authorise recurring charges.
  • Failure to pay may result in suspension or termination of your account.
  • Refunds are issued at our discretion, except where required by applicable consumer protection law.

5. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose
  • Reverse-engineer, copy, or create derivative works from the platform
  • Introduce malicious code or attempt to gain unauthorised access to our systems
  • Use the Service to transmit spam, fraudulent orders, or misleading information
  • Resell or sublicence the Service without written authorisation

6. Your content

You retain ownership of the menu content, pricing, images, and other data you upload to the platform (“Your Content”). By uploading content, you grant SOP a limited, non-exclusive licence to display and process it solely to provide the Service. You are responsible for ensuring Your Content does not infringe any third-party rights.

7. Intellectual property

All rights in the SOP platform, software, branding, and documentation are owned by SOP Technologies or its licensors. Nothing in these Terms transfers ownership of any intellectual property to you.

8. Availability and support

We aim to maintain high availability of the Service but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible. Support is provided in accordance with the level included in your subscription plan.

9. Limitation of liability

To the maximum extent permitted by law, SOP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or revenue, arising from your use of or inability to use the Service. Our total aggregate liability shall not exceed the fees you paid in the three months preceding the claim.

10. Indemnification

You agree to indemnify and hold SOP harmless from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.

11. Termination

Either party may terminate the agreement with 30 days' written notice. We may suspend or terminate your account immediately if you breach these Terms. Upon termination, your right to use the Service ceases and you may export your data within 30 days before it is deleted.

12. Modifications

We may update these Terms at any time. We will notify you of material changes via email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of Switzerland. Any disputes shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland, unless mandatory consumer protection law in your country of residence requires otherwise.
